Il ne peut être valablement reproché à un arrêt d'être dépourvu de motif lorsque le juge d'appel a adopté les motifs du juge d'instance, estimant qu'il a fait une bonne application des dispositions régissant la matière, motivant ainsi sa décision.
Selon les dispositions de l'article 189 de l'AUSCGIE, la fusion entraine la transmission à titre universel du patrimoine de la société absorbée, qui disparait du fait de la fusion, à la société absorbante. Ainsi, par l'effet cette transmission, la société absorbante peut s'approprier le nom commercial de la société absorbée qui disparaît. La cour d'appel qui a considéré, sur le fondement de l'article 189 précité, qu'en raison de la transmission à titre universel de son patrimoine, la société absorbée disparait du fait de la fusion a bien justifié sa décision et n'a pas mal interprété ledit article.
