En application de l'article 159 AUSCGIE un associé ou plusieurs associés ne peuvent demander une expertise de gestion que s'ils détiennent, seul ou en se groupant, un cinquième (soit 20 %) du capital social. Un associé ne détenant que 8 % du capital social ne peut former une telle demande.
