The Regional Advanced School of Magistracy (ERSUMA) of the Organisation for the Harmonisation of Business Law in Africa (OHADA), in partnership with the Firm SIRE OHADA and the African Association of Banks and Financial Instutions' Legal Experts (AJBEF), is organising an online training session from 10 to 13 November 2025 on the theme: “Practice of Security Interests and Syndicated Lending”.
Concept Note
This training programme forms part of a broader initiative to strengthen legal and financial security within the OHADA area and beyond. In a context marked by the diversification of financing instruments and rising credit risks, a sound grasp of security interests and syndicated lending mechanisms is a key driver of financial system stability and credit market attractiveness across Africa.
The course adopts an integrated approach to the legal framework governing securities under the OHADA Uniform Act on the Organisation of Securities, the relevant provisions of community banking regulations (BCEAO, BEAC) on risk management and credit allocation, as well as international prudential standards tailored to the African context. It will place a particular emphasis on banking syndication practices as powerful tools for risk sharing and structured financing of major public and private projects.
Delivered through a resolutely hands-on methodology, the programme will feature credit agreement simulations, analysis of syndication cases, and experience-sharing among practitioners. Participants will gain a comprehensive understanding of the interplay between legal certainty, financial innovation and banking governance in contemporary African economies, while enhancing their capacity to structure, manage and secure bank and interbank financing in line with best practices.
Objectives of the training:
This training session will enable participants to:
- Master the legal framework governing security interests under OHADA law — including personal guarantees, real and movable securities — and understand their practical implications for securing credit operations.
- Gain a clear understanding of the banking regulatory frameworks applicable in the WAEMU and CEMAC zones, with a particular focus on BCEAO and BEAC regulations governing banking activities and risk management.
- Identify the key stages and stakeholders involved in syndicated lending, including pool structuring, the role of the lead bank, interbank agreements, and shared guarantees.
- Assess the legal and operational risks related to the creation, registration, publicity, and enforcement of security interests within a harmonised regional framework.
- Analyse the structure of security interests in complex financing arrangements through practical case studies.
- Draft and negotiate credit and guarantee clauses effectively, in line with regional regulatory requirements and international best practices.
- Strengthen cooperation among legal professionals, bankers, notaries, businesses, and regulators to promote greater financial integration and foster a strong culture of compliance across African community spaces.
Methodology:
The training will be delivered online by experts in banking law, collateral, and financial engineering. It will feature a combination of theoretical presentations, practical case studies, interactive discussions, and group exercises. Participants will analyse and debate real-life scenarios involving credit agreements, guarantees, and syndicated loans.
