European Business Code project by Association Henri Capitant awarded prize at the German Federal Ministry of Justice

On November 10, 2025, the Henri Capitant Association was honored with the “Good Legislation Award” by the German Society for Legislation at the Federal Ministry of Justice in Berlin. Carl Philipp Sassenrath, member of the Bundestag Legal Affairs Committee, highlighted the innovative aspects of the draft European Business Code, especially the Simplified European Company (SES) and the European guarantee contract.

Federal Minister of Justice Dr. Stefanie Hubig addressed the gathering, emphasizing the growing pressures—both internal and external—facing the rule of law in Germany. She noted that the quality and precision of legal standards play a crucial role in fostering citizens' acceptance and trust in the rule of law.

Professor Günter Krings, Member of the Bundestag and Chairman of the CDU/CSU group for North Rhine-Westphalia, underscored that “legislative theory” remains absent from university curricula to date. He advocated for stronger involvement of practitioners in the law-making process, citing the recent engagement of system users in shaping the law for the Central Register of Foreigners as a positive example.

Reflecting this participatory spirit, not only university professors but also practitioners, including notaries and corporate lawyers, developped Association Henri Capitants European Business Code draft. The award was accepted by Professor Urs Gruber (University of Mainz), author of the insolvency law section, Professor Christoph Teichmann (University of Würzburg), attorney Gerd Leutner (partner at CMS Hasche Sigle), who contributed to the company law section, and Niklas Uder (Legal Counsel at Mersen SA), all in the presence of Minister Stefanie Hubig.

The jury— among the members former Parliamentary State Secretary in the Ministry of Justice Benjamin Strasser and Thomas Hadamek, Director of the Parliamentary Service of the German Parliament—praised the precision and structure of Henri Capitant Association's draft European Business Code. Günter Krings emphasized the significance of this year's award, recognizing for the first time a European legislative draft. The project was a collaborative effort of approximately one hundred lawyers, from several European countries, including Germany, Spain, France, Poland, Italy, and Belgium.
