Final Communiqué of the Fifty-Ninth Session of the Council of Ministers of OHADA

The Council of Ministers of the Organisation for the Harmonisation of Business Law in Africa (OHADA) held its 59th ordinary session on 11 and 12 September 2025 at the Radisson Blu Hotel in N'Djamena, Republic of Chad.

The opening ceremony was presided over, on behalf of the Prime Minister and Head of Government of the Republic of Chad, by Mr. Limane Mahamat, Minister of State, Minister of Territorial Administration and Decentralisation. The proceedings were conducted under the effective chairmanship of His Excellency Dr. Youssouf Tom, Minister of Justice, Keeper of the Seals, in charge of Human Rights, and President-in-office of the OHADA Council of Ministers.

At the outset of the deliberations, the Council of Ministers heard a message from OHADA's Technical and Financial Partners, who unanimously commended the quality of their cooperation with the Organisation and expressed their commitment to further strengthening it.

In the area of law-making activities, the Council of Ministers adopted a number of important decisions aimed at enhancing OHADA's institutional governance. In particular, the Council adopted draft regulations governing its own functioning, as well as the powers, organisation and functioning of the OHADA National Commissions. It also approved draft regulations governing the functioning of the Conference of Heads of State and Government.

Furthermore, the Council revised the Decision on the fees applicable to the Registry of the Common Court of Justice and Arbitration (CCJA), with a view to enabling the Court to adequately meet the costs associated with the management of proceedings brought before it.

In addition, the Council of Ministers elected five new Judges to the CCJA for a non-renewable term of seven (7) years, namely:

  • Charles MBA OWONO, University Professor and Lawyer, of Gabonese nationality;
  • Yaovi SRONVIE, Magistrate, of Togolese nationality;
  • Adamou MOUSSA, Magistrate, of Beninese nationality;
  • Youssouf FOFANA, Magistrate, of Malian nationality;
  • François Xavier MBONO, Magistrate, of Cameroonian nationality.

After reviewing the report on the activities of OHADA institutions, the Council of Ministers welcomed the considerable progress achieved over the years with the support of the World Bank Group, and adopted a resolution encouraging the continuation and strengthening of this valuable cooperation.

At the close of its proceedings, the Council of Ministers expressed a vote of thanks to His Excellency Marshal Mahamat Idriss Déby Itno, President of the Republic, Head of State of Chad and President-in-office of the OHADA Conference of Heads of State and Government.
