ERSUMA, the Business Law School of the Organisation for the Harmonisation of Business Law in Africa (OHADA), in partnership with the International Conference of Bars (CIB) and the National Bar Association of the Democratic Republic of Congo (NBA-DRC), is organising, at the Hilton Hotel in Kinshasa and via videoconference, on 15 and 16 April 2026, a continuing training session on the theme: “Corporate Governance under OHADA Law”.
Concept Note
Corporate governance within the OHADA area is based on a well-defined legal architecture and on continuous interaction among a wide range of institutional, economic and financial stakeholders. This continuing training session is designed to provide a comprehensive analysis of corporate management, control and administrative mechanisms, with particular emphasis on Public Limited Companies and Professional Civil Companies.
The programme follows a structured and progressive approach: it begins with a thorough understanding of the legal and statutory framework governing corporate bodies, expands to include stakeholder integration (both public and private), proceeds with the core principles of financial governance, and culminates in the management of risks associated with directors' liability. The andragogical approach is practice-oriented, combining workshops, case studies and continuous exchange of best practices.
Objectives of the training:
The training aims to:
- provide a clear understanding of the legal framework and fundamental principles governing corporate governance of commercial companies within the OHADA area;
- develop skills in stakeholder identification and mapping to assess, at an early stage, the influence and expectations of various public and private stakeholders;
- strengthen participants' ability to conduct effective and context-appropriate board interactions, while strategically safeguarding the company's interests and value creation;
- enhance capacity to manage corporate financial governance, from the reading of financial statements to the interpretation of management indicators, in compliance with applicable accounting standards;
- secure the proper discharge of corporate mandates through a sound understanding of the scope of directors' liabilities (civil, criminal and tax), as well as mechanisms for preventing sanctions; and
- promote the application of operational best practices to transform legal compliance constraints into a genuine driver of corporate performance and sustainability.
Methodology:
The training will be delivered both in person and via videoconference by expert practitioners in OHADA law, corporate governance, finance and accounting. It will consist of targeted theoretical presentations, sharing of professional experience, interactive discussions and group work sessions, during which practical case studies—primarily drawn from corporate practice within and beyond the OHADA area—will be examined. Capacity-building will be ensured through case study resolution relating to the functioning of boards of directors and general meetings, as well as practical exercises in financial statement analysis for non-financial professionals and in assessing directors' liability.
