Critères de constitution des sociétés commerciales en droit OHADA et burundais

Résumé

Cette réflexion a examiné les critères de légalité et d'opérationnalité qui président à la constitution des sociétés commerciales dans le droit OHADA et burundais. Le code burundais des sociétés privées et à participation publique et l'Acte uniforme portant société commerciale et groupement d'intérêt économique ont servi de supports d'analyse. L'objectif consistait à examiner les critères qui régissent la formation des sociétés commerciales dans ces espaces juridiques afin d'en préciser le contenu pour après dégager les spécificités qui les caractérisent. Au seuil de la réflexion, l'étude conclut que les deux régimes juridiques partagent en commun les grands principes de formation des sociétés commerciales. Toutefois, à l'intérieur de ces principes se trouvent certaines spécificités qui font que ces régimes se démarquent l'un de l'autre. Les différences portent notamment sur la fixation du montant du capital minimum, la société anonyme unipersonnelle, la libération des apports en numéraire et la quotité des apports en industrie et bien d'autres.

Summary

This reflection examined the legality and operating criteria that preside over the constitution of commercial companies in OHADA and Burundian law. The Burundian code of private companies and companies with public participation and the OHADA Uniform Act on commercial companies and economic interest groups served as analytical tools. The objective was to examine the criteria that govern the formation of commercial companies in these legal spaces in order to specify their content and then identify the specificities that characterize them. At the threshold of the reflection, the study concludes that the two legal regimes share the main principles of the formation of commercial companies. However, within these principles are certain specificities that make these regimes stand out from each other. The differences relate in particular to the fixing of the amount of the minimum capital, the single-member public limited company, the release of the contributions in cash and the quota of the contributions in industry and many others.

    Je salue cette réflexion qualitative. Autant dire dire que mon cher estimé collègue a pris de l'avance car j'étais sur une monographie sur le même thème. Partant tout en le félicitant, il m'a permis de limiter ma réflexion sur un sujet précis tout en profitant de sa contribution en termes de revue de littérature.
