Terms of use of the website www.ohada.com

The Association for the Unification of Law in Africa « UNIDA/www.ohadacom » manages the website www.ohada.com (the « Site ») to serve those (the « Users ») who wish to learn about the OHADA legal system. The information it contains is provided for information purposes only. UNIDA/www.ohadacom authorizes Users to visit the Site and to download or copy legal texts and documents (collectively, the « Content ») for personal, non-commercial purposes, without granting them the right to resell or distribute the Content, or to use it to create derivative works, and this authorization is subject to compliance with the provisions and conditions set out below, as well as any specific restrictions that may apply to a given element of the Site's Content.

The Site is administered by UNIDA/www.ohadacom. All Content posted by the Association is subject to these provisions and conditions. Unless expressly stated otherwise, the findings, interpretations and conclusions forming part of the Site's Content are those of the various site administrators and consultants or advisors to its Secretariat who contributed to producing said Content, and do not necessarily reflect the views of the official authorities of OHADA or its Member States.

Liability

The Site's Content is provided « as is », without any warranty, express or implied, in particular as to the official nature of the information, its fitness for any particular purpose, and non-infringement of intellectual property rights. In particular, UNIDA/www.ohadacom makes no warranty and no representation as to the accuracy and completeness of the Content. It periodically, without notice, adds to, modifies, improves and updates the Content. It cannot under any circumstances be held liable for any injury or damage, obligation or expense claimed to result from use of the Site, including, without limitation, any fault, error, omission, interruption of service, or delay that may have occurred. Users use the Site at their own risk. UNIDA/www.ohadacom shall not, in particular in cases of negligence, be held liable for any direct, indirect, incidental, special or consequential damage, even if the Association has been advised that such damage might occur.

Users acknowledge and agree that UNIDA/www.ohadacom is not responsible for the conduct of any User.

The Site contains notices, opinions and statements from various sources of information. UNIDA/www.ohadacom does not affirm or guarantee the accuracy or reliability of any of them, nor of any other item of information from any source or from any User of this site, or from any other person or entity whatsoever. Users use them at their own risk. UNIDA/www.ohadacom shall not be held liable for any damage whatsoever, whether direct, indirect, incidental, special or consequential, even if UNIDA/www.ohadacom had been advised that such damage might occur.

The Site may contain information, opinions and statements from various sources of information. UNIDA/www.ohadacom does not adopt them as its own, nor any information from such sources, from any User, or from any other person or entity, and does not guarantee their accuracy or reliability. Users rely on them at their own risk. UNIDA/www.ohadacom is not liable to any User or to anyone else in respect of inaccuracies, errors, omissions, service interruptions, deletions of content, defects, or the modification or use of elements of the Site's Content, or whether it is up to date or complete, and is not liable in the event of computer or communication or transmission equipment failure or virus transmission, whatever the cause, in respect of any resulting damage.

By using the Site, Users agree to hold UNIDA/www.ohadacom and its entities harmless from any claim or demand for compensation, any injury or damage, any financial obligation or expense (including, at a reasonable rate, attorneys' fees) that may result for it from the User's use of the Site, including, without limitation, any claim alleging facts that, if true, would constitute a breach of these Terms of Use by the User. The sole remedy available to a User dissatisfied with all or part of the Site's Content or of these Terms of Use is to stop visiting the Site.

The Site may contain links to websites operated by third parties, or references to such sites. The sites to which links are provided are not under the control of UNIDA/www.ohadacom, which is not responsible for the content of any of them or of any link provided by them. The Association provides these links solely as a convenience, and the fact that a link is provided or a site is mentioned does not imply any endorsement on its part.

If the Site includes bulletin boards, discussion forums, access to mailing lists, or other messaging or communication tools (collectively, « Forums »), Users agree to send and receive only messages and information that are appropriate and relevant to the Forum in question. By way of non-exhaustive example, when participating in a Forum, Users agree to refrain from the following activities:

• Defaming, insulting, harassing or threatening anyone, or otherwise infringing their rights (for example, regarding privacy and the disclosure of information);
• Publishing, posting, distributing or disseminating material or information that is defamatory, offensive, obscene, indecent or unlawful;
• Uploading or attaching files containing software or other items protected by intellectual property law (or by privacy and information disclosure legislation), unless the User owns or controls the rights thereto, or has obtained all consents required by law for that purpose;
• Uploading or attaching files containing viruses, corrupted files, or any other similar software or program that could damage the proper functioning of another person's computer;
• Removing author credits, legal notices, or intellectual property notices or markings from an uploaded file;
• Falsifying the origin or source of software or other items contained in an uploaded file;
• Advertising or offering goods or services for sale, or conducting or forwarding surveys, contests or chain letters, or importing a file made available by another user of the Forum, which the User knows or should reasonably know may not lawfully be distributed in this manner.

Users acknowledge that exchanges on all Forums and discussion groups are public and not private in nature. Users further acknowledge that discussions, posted items, conferences, emails and other items exchanged by other Users are not deemed to have been reviewed, selected or approved by UNIDA/www.ohadacom. UNIDA/www.ohadacom reserves the right to remove, for any reason and without notice, any content posted in the Forums by Users, including in particular emails or messages posted on electronic bulletin boards.

General terms

UNIDA/www.ohadacom reserves the exclusive right to modify, restrict or remove the Site or any part of its Content, at its sole discretion and in any form whatsoever. In this regard, it is not required to take into account the needs of any User.

UNIDA/www.ohadacom reserves the right to refuse, at its sole discretion and without notice, access to the Site or to any part of the Site to any User whatsoever.
